Chao Liu holds a master’s degree in economic law from East China University of Political Science and Law. He has extensive experience in dispute resolution, corporate governance and compliance, intellectual property, banking, finance and securities, and corporate criminal compliance.

Drawing on experience in both contentious matters and transactional work, Mr. Liu is adept at anticipating potential disputes at the structuring stage and incorporating dispute-risk controls into investment and financing arrangements and corporate compliance frameworks, balancing clients’ commercial objectives with effective legal risk management.

Dispute Resolution
Mr. Liu handles complex commercial litigation and arbitration, with particular experience in shareholder rights disputes, valuation adjustment mechanism (VAM) disputes arising from equity investments, commercial breach-of-contract disputes, negotiable instruments disputes, joint venture and commercial cooperation disputes, tort claims and unfair competition matters.
He is experienced in using procedural measures such as asset preservation, objections to enforcement and petitions for retrial to protect clients’ interests. He also handles commercial matters involving overlapping civil and criminal issues, combining negotiation, mediation and judicial proceedings to develop integrated strategies for resolving major disputes.

Corporate Governance and Compliance
Mr. Liu advises companies on compliance throughout the corporate lifecycle. His work includes refining corporate governance and equity structures; strengthening controls over corporate seals, licences and certificates; improving commercial transaction risk-management systems; and advising on employment, supply-chain operations and business conduct compliance.
He also conducts compliance risk assessments, issues legal opinions on specific matters and helps clients establish sustainable compliance frameworks designed to mitigate civil liability, administrative penalties and criminal exposure.
